These terms set out the agreement between you and Sanctuary Coaching Ltd, a company registered in England and Wales, trading as Sanctuary Coaching. By purchasing or using our services you are contracting with Sanctuary Coaching Ltd.
1. Acceptance of these terms
By accessing this website, submitting an enquiry or booking form, or purchasing any of our products, you agree to these terms. If you do not agree, please stop using the service. Continued use after any update to these terms means you accept the updated version.
If you are agreeing on behalf of an organisation, you confirm you have authority to bind that organisation. If you are agreeing as an individual, you confirm you are at least 18 years old.
2. What we provide
Sanctuary Coaching Ltd provides consultancy and coaching for people setting up and running children's homes and supported accommodation in the UK, together with digital products including our Children's Home Start-Up Course, our 12-Month Project Plan, free guides, and discovery calls.
Our materials are practical guidance based on our experience of the regulatory environment. They are not legal advice, and they do not replace your own duty to comply with Ofsted requirements, the Children's Homes (England) Regulations, local authority requirements, planning rules or any other applicable law. You remain responsible for decisions you make about your own business.
3. Your account and information
Where access credentials are issued to you, you must keep them confidential and you are responsible for activity carried out under them. You must give us accurate information and keep it up to date.
4. Licence and restrictions
On payment, we grant you a limited, non-exclusive, non-transferable right to use the purchased materials for your own business purposes. You may not:
- resell, share, sublicense, publish or redistribute our materials;
- copy or adapt our materials to create a competing product;
- reverse engineer or attempt to circumvent any technical limit or access control.
5. Acceptable use
You must not misuse the service. In particular, you must not:
- use it for any unlawful purpose or in breach of any regulation;
- engage in fraud, spam or misrepresentation;
- infringe the intellectual property or privacy rights of anyone else;
- interfere with the security or integrity of the service, including introducing malware, probing or scanning our systems, or scraping our content.
6. Intellectual property
All content, course materials, templates, documents, software and branding remain the property of Sanctuary Coaching Ltd or our licensors. Nothing in these terms transfers ownership to you. Where you upload or send us content, you grant us a limited licence to host and process it solely so that we can provide the service to you.
7. Service availability
We work to keep the service available and accurate, but we do not guarantee that it will be uninterrupted, timely or error-free. We may change, suspend or withdraw features from time to time. To the fullest extent permitted by law, we exclude all implied warranties, including merchantability and fitness for a particular purpose.
8. Enquiries and orders
Prices shown on our product pages are indicative and in pounds sterling. Our products and services are arranged directly with us: contact us and we will confirm scope, price and the terms of your order in writing before anything is agreed.
9. Suspension and termination
We may suspend or terminate your access where there is a material breach of these terms, non-payment, a security or fraud risk, or repeated or serious policy violations. Where it is reasonable to do so we will tell you first and give you a chance to put things right.
On termination your right to use the materials ends. Where we hold data belonging to you, we will normally allow 30 days for you to request a copy before deletion.
10. Liability
We do not exclude liability for fraud, death or personal injury caused by our negligence, or anything else that cannot lawfully be excluded. Subject to that, we are not liable for indirect, consequential or special loss, including loss of profit, business, data, goodwill or anticipated savings, and our total liability to you is capped at the fees you paid to us in the 12 months before the claim arose.
11. Indemnity
You agree to indemnify us against claims, losses and reasonable costs arising from content you provide, your unlawful use of the service, or your breach of these terms.
12. General
You may not assign your rights under these terms without our consent. We may assign ours as part of a merger, acquisition or business transfer. Neither party is liable for delays caused by events beyond reasonable control. If any clause is found unenforceable, the rest continues to apply.
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
